Sales Terms & Conditions

1) All items listed above are brand new, unused, unopened, and undamaged, and are supplied in their original manufacturer’s packaging.

2) GTX Telecom FZCO provides no guarantee or warranty of any kind in respect of the goods supplied.

3) Partial shipment is permitted.

4) The Customer confirms and agrees that the goods purchased from GTX Telecom FZCO are intended solely for resale and not for personal use or consumption.

5) For the purposes of UAE Value Added Tax (VAT), where the place of supply is the UAE Mainland, the Customer confirms that its intent, as the Recipient of Electronic Devices (including mobile phones, smartphones, tablets, and similar devices), is to resell such devices or to use them in the production or manufacture of Electronic Devices, and further confirms that it is registered for VAT with the Federal Tax Authority (FTA).

6) For the purposes of UAE Corporate Tax (CT), where the Customer is registered with a UAE Free Zone Authority, the Customer confirms that it is the beneficial recipient of the goods listed above, that such goods will be used for its Free Zone business, and that it does not act as a conduit or intermediary.

7) This Invoice is subject to a Force Majeure clause.

8) GTX Telecom FZCO shall not be liable for any damage to, or loss of, goods after their release or delivery to the Customer or to the Customer’s appointed logistics provider (“Ship To” party).

9) The terms and conditions stated in this Invoice supersede any terms and conditions previously agreed between the parties.

10) The Customer confirms that all funds used for payment of this Invoice originate from legitimate sources, in accordance with the laws of the United Arab Emirates.

11) By confirming this Invoice, the Customer confirms that the goods sold by GTX Telecom FZCO will not be resold to sanctioned entities or individuals, nor shipped to sanctioned destinations.

12) This Tax Invoice shall be governed by and construed in accordance with the substantive laws of Dubai, United Arab Emirates, without regard to its conflict-of-laws rules.

13) The mentioned quantities are for export purposes only.

14) A penalty of 1.5% of the invoice amount will be imposed for payments exceeding 30 days from the invoice date.

15) The Customer (and the “Ship To” entity) shall comply at all times with:

· the rules, regulations, and laws of the United Arab Emirates; 

· anti-bribery and anti-corruption requirements;

· intellectual property rights;

· anti-tax evasion and anti-facilitation of tax evasion requirements;

· confidentiality obligations;

· anti-money laundering (AML) requirements;

· anti-terrorism financing requirements;

· requirements relating to the proceeds of unlawful activities; and

· the prohibition on dealing, directly or indirectly, with sanctioned countries.
